Ballard Completes GeoPura Acquisition to Create Integrated Hydrogen Energy Solutions Provider

Ballard Power Systems has completed its acquisition of UK-based GeoPura, bringing hydrogen fuel cell technology, hydrogen power generation, fuel production and distribution capabilities together under one company as Ballard moves to establish itself as an integrated hydrogen energy solutions provider.
The acquisition combines Ballard’s fuel cell technology and global reach with GeoPura’s Hydrogen Power Unit (HPU) platform, hydrogen production and logistics capabilities, and Energy-as-a-Service business model. The companies believe the combination will enable Ballard to offer customers a turnkey zero-emission power solution rather than supplying fuel cell technology alone.
Founded in 2019, GeoPura develops and operates hydrogen-powered systems designed to provide reliable, low-noise, off-grid electricity. Its HPU systems use Ballard fuel cell modules to convert hydrogen into electricity without the combustion emissions associated with conventional diesel generators.
GeoPura also produces green hydrogen through electrolysis at dedicated facilities and operates what the companies describe as the UK’s largest compressed hydrogen distribution fleet. By combining these capabilities with Ballard’s fuel cell technology, the merged business can provide a more complete energy solution covering power generation, hydrogen supply and delivery.
The companies see applications across sectors where customers require reliable electricity but face challenges such as limited grid capacity, temporary power requirements or the need to replace fossil-fuel generators. The integrated model could allow Ballard to participate in a larger portion of the hydrogen energy value chain while offering customers a single provider for zero-emission power.
“Today marks a pivotal milestone in Ballard’s evolution as we officially welcome GeoPura to our organization,” said Marty Neese, CEO of Ballard Power Systems. He said combining GeoPura’s clean power generation platform with Ballard’s fuel cell engineering would provide customers with an integrated source of reliable zero-emission power.
The acquisition is also expected to strengthen Ballard’s position in Europe while creating opportunities to expand GeoPura’s business model into North America. The companies intend to use the combined capabilities to address growing demand for flexible power solutions in markets where grid constraints, energy security and local air-quality requirements are becoming increasingly important.
Andrew Cunningham, who has assumed the role of President of Ballard following the transaction, said the combined company would bring together fuel cell technology with hydrogen power production and infrastructure expertise. He highlighted potential applications ranging from replacing fossil-fuel generation to providing power in locations where grid connections are constrained.
The transaction has an upfront value of £275 million. This consists of £82.5 million in cash, 49,584,212 newly issued Ballard common shares and restricted share units that will be settled after 12 months for an additional 1,084,540 Ballard common shares. Following completion, former GeoPura shareholders hold approximately 14.1% of Ballard’s outstanding common shares on a pro-forma basis.
Ballard may also make up to £27.5 million in additional contingent payments if GeoPura achieves specified financial milestones following the acquisition.
The transaction represents a significant expansion of Ballard’s business model. Rather than focusing primarily on supplying fuel cell technology to equipment manufacturers and other customers, the company now has access to an operational platform capable of producing hydrogen, distributing it and converting it into electricity for end users.
GeoPura’s HPU systems provide an important foundation for this strategy. Its HPU2 platform, for example, is a 500 kW system incorporating Ballard fuel cell modules and is designed to provide off-grid electricity without the local emissions associated with diesel-based power generation.
The acquisition also brings additional leadership and governance changes. Andrew Cunningham has joined Ballard’s leadership team as President, reporting directly to CEO Marty Neese. Cunningham and Lord Richard Harrington, former UK Business and Industry Minister and Chairman of GeoPura, have also joined Ballard’s Board of Directors as nominees designated by former GeoPura shareholders.
For Ballard, the acquisition marks a shift toward capturing value across the broader hydrogen energy ecosystem. The company will now combine fuel cell manufacturing and engineering with hydrogen generation, logistics and end-user power services, creating an integrated platform aimed at serving customers seeking reliable zero-emission electricity.
As demand develops for alternatives to diesel generators and other fossil-fuel-based power systems, the combined Ballard-GeoPura business will seek to position hydrogen as a practical source of flexible power for applications where conventional grid electricity is unavailable, insufficient or difficult to expand. The acquisition therefore gives Ballard a broader route to market while providing GeoPura with access to Ballard’s global scale and established fuel cell technology.
